Qualified candidates should have 5+ years of experience at an AmLaw 100 or 200 firm or with a Fortune 1000 corporate legal department and a Bachelor's degree from an accredited college or university. A J.D. is a plus! Senior-level experience providing general corporate transactional support with extensive experience in M&A, private equity, new venture formation, or corporate financing transactions is also a MUST!
In this role, the Corporate Paralegal can expect to prepare and/or revise drafts of legal documents for attorney review, including but not limited to various corporate entities' formation and dissolution, ancillary documents related to corporate financing, and M&A transactions, foreign qualifications, and UCC financing statements. You can also expect to assist in SEC filings, including Form D filings, Confidential treatment requests, and Registration Statements, and conduct corporate and securities law research using Westlaw, LexisNexis, and similar online research services. The Paralegal will be responsible for other tasks and projects associated with corporate transactions as necessary.
SALARY:
$87,500 - $170,000, DOE
